Official Academy Partner Agreement

1. Purpose

This Agreement confirms your appointment as an Official Harley Street Smiles Academy Partner.

The purpose of this partnership is to allow your academy to introduce suitable students to the Harley Street Smiles Professional Teeth Whitening Business Programme in accordance with this Agreement and the Harley Street Smiles Academy Partner Terms & Conditions.

2. Academy Partner Benefits

As an Official Academy Partner you will receive:

• Official Academy Partner Status
• Academy Partner Portal
• Dedicated Business Success Manager
• Marketing Toolkit
• Official Academy Partner Locator Listing
• Referral Tracking
• Ongoing Partner Support
• Commission for successful student enrolments

3. Commercial Structure

The programme price is fixed and must not be altered, discounted or amended without the prior written approval of Harley Street Smiles.

Academy Commission. £250 per successful student enrolment. Commission is payable only upon a completed student enrolment where the student’s payment has been successfully received and the enrolment has been accepted by Harley Street Smiles. Commission payments are made monthly in accordance with the Harley Street Smiles Academy Partner Terms & Conditions.

Performance Bonus. Receive a £500 bonus for every 10 successful student enrolments, subject to the current commission structure.

Student Referral Benefit. Every student referred by an Official Academy Partner will receive one additional complimentary client pack within their Professional Teeth Whitening Business Programme kit.

4. Harley Street Smiles Responsibilities

Harley Street Smiles agrees to:

• Deliver the Professional Teeth Whitening Business Programme.
• Deliver all student onboarding.
• Provide all professional equipment.
• Provide CPD Certification.
• Provide Harley Street Smiles Accreditation.
• Implement the MATCH WHITE™ Recurring Revenue System.
• Provide launch support.
• Provide lifetime ongoing student support.
• Provide a dedicated Business Success Manager.
• Maintain the Academy Partner Portal.
• Manage the complete implementation of the programme.
• Manage all programme delivery.
• Manage all student support throughout the programme.

5. Academy Responsibilities

The Academy agrees to:

• Represent Harley Street Smiles professionally.
• Provide accurate information to prospective students.
• Refer suitable students only.
• Follow Harley Street Smiles branding guidelines.
• Protect the Harley Street Smiles reputation.
• Keep all confidential information secure.
• Actively promote the Harley Street Smiles Professional Teeth Whitening Business Programme throughout the duration of this Agreement.
• Ensure that Professional Teeth Whitening remains the primary programme promoted under this partnership.
• Not make any guarantee, promise or representation regarding a student’s income, earnings, financial success, business growth or results.
• Comply with all Harley Street Smiles pricing and marketing policies.
• Promote the programme honestly and ethically at all times.

6. Pricing & Promotional Offers

The Professional Teeth Whitening Business Programme shall be offered at the standard retail investment determined by Harley Street Smiles.

Academy Partners may not advertise, discount or alter the programme investment without prior written approval from Harley Street Smiles.

Academy Partners are permitted to create their own promotional offers, bonuses or incentives provided that:

• the Harley Street Smiles programme investment itself is not discounted or amended without written approval; and
• all promotions comply with Harley Street Smiles branding and marketing guidelines.

Examples of permitted offers include, but are not limited to:

• Complimentary academy training.
• Business mentoring.
• Additional resources.
• Marketing support.
• Equipment supplied by the Academy.
• Any other value-added bonus that does not reduce the Harley Street Smiles programme investment.

7. Important Legal Terms

By agreeing to this Agreement, the Academy confirms that it has read, understood and agrees to comply with the Harley Street Smiles Academy Partner Terms & Conditions, including (but not limited to):

• Confidentiality obligations.
• Intellectual Property protection.
• Use of Harley Street Smiles branding.
• Commission rules.
• Payment terms.
• Data protection obligations.
• Exclusivity obligations.
• Restrictive covenants.
• Non-solicitation obligations.
• Termination provisions.
• Governing law.
• Any other provisions contained within the Academy Partner Terms & Conditions.

The Academy further acknowledges that:

• Harley Street Smiles retains sole responsibility for programme delivery, implementation, student onboarding and ongoing student support.
• The Academy’s role is limited to marketing and referring suitable prospective students.
• The Academy must never promise or guarantee any level of income, revenue, profit, client numbers or business success.

8. Exclusivity

The Academy acknowledges that the Harley Street Smiles Professional Teeth Whitening Business Programme is the exclusive professional teeth whitening programme that may be promoted under this partnership.

During the term of this Agreement, and for a period of ten (10) years following its termination, the Academy agrees that it shall not directly or indirectly market, promote, sell, endorse, deliver or otherwise be involved with any professional teeth whitening training course, academy, certification programme or substantially similar commercial offering other than those provided by Harley Street Smiles.

The Academy acknowledges that this restriction is fundamental to the commercial relationship between the parties and forms a material condition of this Agreement.
